Sie stellen gemeinsam den 'Kernbereich der Beziehungen zwischen der Kapitalgesellschaft und ihren Gesellschaftern' dar.Im Wesentlichen ist eine Einlagenrückzahlung beim Gesellschafter bis zu den Anschaffungskosten beziehungsweise bis zum Buchwert der Beteiligung steuerneutral zu behandeln. Sie wird erst steuerpflichtig, wenn die Rückzahlung den Buchwert der Einlage übersteigt. Gewinnausschüttungen sind beim Empfänger grundsätzlich steuerpflichtig. Ist eine Körperschaft Gesellschafter, kann die Gewinnausschüttung nach10 Abs 1 KStG steuerfrei gestellt sein.Bis zum StRefG 2015/2016 bestand ein weitgehendes Wahlrecht der steuerlichen Behandlung einer unternehmensrechtlichen Ausschüttung.
