Investors that provide capital to private equity funds invest in an asset class that entails relatively high-risk and high illiquidity in what remains a largely unregulated market. Planning how to exit an investment is just as important as preparing to make one because a merger adds value only if synergy, better management, or other changes make the two firms worth more together than apart. The target companies are supported with accountants, lawyers, investment bankers and other specialists. Especially Start-up companies are often characterised by negative cash flows and demand high investments. PE gives the chance to reduce the financial gap between selffinancing and stock exchange listing and can also help to improve the equity ratio. Another advantage of PE for target companies is the increase of equity and an improved balance sheet structure. Regarding to that, the negotiating position is strengthened towards creditors, the credit rating is improved and the financial room for investments increases. The main disadvantage of PE for target companies is the weakened influence of the initial shareholders. Especially different strategically views between those two groups might be difficult to solve. Due to the fact of the high risk, from the investors' perspective, PE is a very interesting form of investment. Especially under diversification aspects the investment in PE funds make sense, because the investors offer investment opportunities that can not be replicated in the financial market and on top of that have a low correlation with other asset class. The firms standard practice of buying businesses and then, after steering them through a transition of rapid performance improvement and selling them is at the core of private equity's success.

In this thesis, the research focuses on selected German Bundesliga clubs. Due to their financially weaker situation and lack of international importance, clubs from the Bundesliga 2 will not be considered. The mentioned selected clubs are Borussia Dortmund GmbH & Co. KGaA, FC Gelsenkirchen-Schalke 04 e.V. and VfL Wolfsburg-Fußball GmbH. In addition, in order to analyse the collaboration between the clubs and the German Football Association (DFL Deutsche Fußball Liga GmbH), the relationship between the clubs and the DFL will be examined. For the structured interviews with experts the author of this thesis developed an interviewer administered questionnaire guiding through the different interviews. Each interviewed expert was asked to respond to the same set of questions in a predetermined order. Trying to build a broad opinion profile and to create a better possibility of comparison at a uniform level, interviews with experts from the recently most successful and aspiring German Bundesliga clubs were conducted (Alexander Jobst, Thomas Röttgermann, Benedikt Scholz). Additionally, to analyse the interdependence between the clubs and the DFL an interview with the CEO of the DFL (Christian Seifert) was conducted. Due to the financially weaker situation and lack of international importance, clubs from the Bundesliga 2 were not considered.

Es stehen sich inzwischen zwei politisch fast unversà hnliche K…onzepte gegenüber. Auf der einen Seite wird ein weitreichender wirtschaftlicher Ansatz vertreten, in dem auf die erhà hten Transaktionskosten durch den Kündigungsschutz hingewiesen wird, so dass der Kündigungsschutz ein Hindernis für Neueinstellungen durch Unternehmen sei. Dem wird auf der anderen Seite entgegengehalten, dass durch den Kündigungsschutz ein unzureichender Bestandsschutz des Arbeitsverhältnisses gewährleistet werde, weshalb der Kündigungsschutz ausgedehnt werden müsse. Zum ersten Mal ist der Gesetzgeber dem Druck einer Verbandsseite 1996 nachgekommen und hat im Rahmen des Beschäftigungsfà rderungsgesetzes (BeschFG) wirtschaftspolitische Forderungen der Arbeitgeberverbände umgesetzt. Ziel des Gesetzes war es, die Wirtschaft und Gesellschaft des 21. Jahrhunderts auf die globalen Veränderungen einzustellen und dadurch eine Wachstumsdynamik zu ermà glichen, die zu einem Abbau der nicht zu akzeptierenden Arbeitslosenquote führen sollte. Das Gesetz stieà sowohl in der Politik als auch in der Rechtswissenschaft wegen der sachlichen und "handwerklichen" Fehler auf zum Teil heftige Kritik. Es wurden verschiedene Vorschläge, von der generellen Umgestaltung des Kündigungsschutzes bis zu einem Abfindungsgesetz diskutiert. Auf der anderen Seite wird vehement an dem bisherigen umfangreichen Kündigungsschutz festgehalten. Als Grundaussage lässt sich feststellen, dass ein flexibles Arbeitsverhältnis zwar aus à konomische Sicht wünschenswert ist, sich allerdings eine signifikante Verbesserung nicht allein durch Ãnderungen des Kündigungsschutzes gewährleisten lässt.

What is called '3/11' is comprised of three temporally sequenced and causally linked but analytically separable disasters. On 11th March 2011 a Richter scale 9 earthquake occurred, with its epicentre 100km off the northeast coast of Japan. It was followed by a giant tsunami. The quake and tsunami caused a massive amount of damage and resulted in considerable loss of life. It also destroyed the reactor cooling system of the Fukushima Daiichi nuclear power plant complex, which led to massive explosions and the release of radioactive materials into the environment. In today s rapidly changing environment, management personnel, whether in companies, in non-profit organizations or within governmental departments, are constantly confronted with decision problems with far-reaching consequences. This assignment will explain the terms of the decision-making process as well as characteristics of disasters by transferring it on the Fukushima Daiichi disaster in 2011.Besides the introduction and the objectives, the structure of this assignment bases on the explanation and definition of disasters, crisis and their correlation in chapter 2. Chapter 3 explains the rational choice theory as well as the psychology of decisions. The course of the disaster as well as the failures in Fukushima is described in chapter 4. The assignment closes with a conclusion in chapter 5.

Die Umstellung der Bewerbungsprozesse auf elektronischeKanäle ermöglichte eine schnelle und unbürokratische Bearbeitung der Bewerbungsunterlagen. Zudem wurden bei Audi und Bertelsmann die Unternehmenswerte gefestigt und zur Grundlage nachfolgender Personalgewinnungsoffensivenaufgebaut. Die Deutsche Bahn hingegen nutzte ihre alsSchwäche empfundene Konzernstruktur als Basis. Bei den nachfolgend gestarteten Employer Branding Kampagnen setzten die Unternehmen eigene Mitarbeiter aus unterschiedlichen Geschäftsbereichen in einem ganzheitlichenKonzept als Markenbotschafter ein. Sie vermitteln Eindrücke der täglichen Arbeitsabläufe des jeweiligen Unternehmens. Die Kampagnen hielten Einzug in sämtliche von den Unternehmen genutzten Kommunikationskanäle, darunter auch Social Media Plattformen wie Facebook, Twitter, Youtube oder Xing. In 2011 Germany was already able to produce 20% of its energy with renewable energy sources. This is not only good for the environment but also helps to decrease the costs for imports of fossil energy sources.In order to achieve the ambitious goal and to become a role model for all other countries Germany has to invest in infrastructure dramatically. Further it takes time and coordination efforts to succeed. However an alternative doesn't seem to be at hand looking at the availability of worldwide resources. Another important side effect of using renewable energy sources are of course the reduction of the so called greenhouse gases and in the same time avoiding the risk of nuclear energy disasters such as in Chernobyl and Fukushima.Although fulfilling the steps towards Germany's energy policy seems to be complex and costly at first the long term goal is worthwhile pursuing. It should be in everyone's interest and in the interest of future generations to have a long term energy policy. Germany can set the rules and play a vital role worldwide in the future. We just have to make sure that the process is fair for all stakeholders.

Aus der Konzernbildung ergeben sich eine Reihe von rechtlichen und organisatorischen Neuerungen für die Binnenorganisation und die Führung einer solchen Unternehmung (Konzern), die sich sowohl mittelbar als auch unmittelbar auf die Arbeitsverhältnisse der Arbeitnehmer auswirken kà nnen. Der Konzern als rechtliches Gebilde wird (auch heute) nur selten durch die arbeitsrechtlichen Gesetze erfasst und entsprechend nur unzureichend sachgerecht geregelt. Im Kündigungsschutzgesetz fehlen Regelungen zu diesem Komplex vollständig, obgleich der Grad der Konzentration in der deutschen Wirtschaft stetig zunimmt. Für die Arbeitnehmer ergeben sich hieraus weitreichende Konsequenzen. Ihnen wird damit ein Kündigungsschutz durch den Gesetzgeber für solche Fälle nicht gewährt, in denen der Kündigungsvorgang durch Konzernbelange wie z.B. durch auf den Konzern abgestimmte Restrukturierungsvorgänge oder Kostensenkungsprogramme veranlasst wurde. Daher soll unter Berücksichtigung von rechtlichen und vor allem auch betriebswirtschaftlichen Aspekten untersucht werden, in wie weit die Lücke im Arbeitsrecht vor allem im Hinblick auf § 1 Abs. 2 Satz 2 Nr. 1b KSchG geschlossen werden kann und welchen Schutzumfang dieser konzerndimensionale Kündigungsschutz entfalten kann.

Especially Start-up companies are often characterised by negative cash flows and demand high investments. PE gives the chance to reduce the financial gap between selffinancing and stock exchange listing and can also help to improve the equity ratio. Another advantage of PE for target companies is the increase of equity and an improved balance sheet structure. Regarding to that, the negotiating position is strengthened towards creditors, the credit rating is improved and the financial room for investments increases. The main disadvantage of PE for target companies is the weakened influence of the initial shareholders. Especially different strategically views between those two groups might be difficult to solve. Due to the fact of the high risk, from the investors' perspective, PE is a very interesting form of investment. Especially under diversification aspects the investment in PE funds make sense, because the investors offer investment opportunities that can not be replicated in the financial market and on top of that have a low correlation with other asset class.
