Vital-Roux précise qu'il n'a parlé de l'agriculture, dans le cours de son ouvrage, 'que par indication, et comme pour rappeler qu'elle doit être comprise dans toutes les institutions en faveur du commerce'. Vital-Roux s'est également interdit toute espèce de discussion sur les colonies' (INED).The author was born in Bellay, around 1760, and died in Strasbourg in 1846. He started his career with a trading company in Lyon, and after that went to work for the house of Delessert in Paris. He founded himself a trading company but with little success. He became nevertheless regent of the Banque de France, member of the Chamber of Commerce of Paris and he was one of the editors of the Code de Commerce (Coquelin & Guillaumin, vol. ii, p. 560).

Édition originale peu courante de l'ouvrage majeur de Vital Roux qui constitue un… véritable traité de la codification en matière commerciale : la première partie de l'ouvrage présente une esquisse d'un droit public des affaires, la seconde aborde directement la rédaction d'un code (Hilaire, Le droit des affaires et l'histoire, 1995). Dans cette seconde partie, à propos des transactions commerciales, l'auteur rappelle « une vérité déjà reconnue » mais dont « on n'a pas senti tout l'avantage » : « La législation commerciale est entièrement différente de la législation civile », principe qui sera entièrement repris dans le Code de commerce. L'auteur précise qu'il n'a parlé de l'agriculture, comme pour rappeler qu'elle doit bien sûr ne pas être oubliée dans toutes nouvelles initiatives en faveur du commerce. Il s'est également interdit toute espèce de discussion sur les colonies. Vital Roux 1760-1846, négociant et juriste lyonnais, a largement contribué à l'élaboration du Code de commerce en 1807. En 1787, il est parmi les membres fondateurs de la Chambre d'assurance contre les incendies, l'une des premières compagnies d'assurance en France. En 1806, il est nommé régent de la Banque de France, tandis que Napoléon lui préfère Louis Charles Thibon au poste de premier sous gouverneur. Le 1er octobre 1819, il fonde avec Jean-Baptiste Say, le premier établissement supérieur au monde spécialement dédié à l'enseignement aux techniques du commerce, établissement qui prend le nom d''École spéciale de commerce et d'industrie ; elle deviendra plus tard l'ESCP Europe.
