Durch die Kapitalbeteiligung des Managements, die Erhà hung des Verschuldungsgrades sowie das professionelle Monito- ring des Finanzinvestors seien die Agency-Kosten im Vergleich zu an- deren Anreiz- bzw. Kapitalstrukturen geringer. Da das Management aufgrund finanzieller Restriktionen i. d. R. nicht 100 % des MBO-Un- ternehmens übernimmt, sondern sich ein institutioneller Finanzinves- tor mehrheitlich am Unternehmen beteiligt, wird das Prinzipal-Agen- ten-Problem aber nicht vollständig gelà st. Der Finanzinvestor muss daher die Anreizelemente bei einem MBO so ausgestalten, dass das Management mà glichst vollständig entsprechend seinen Interessen handelt und die Agency-Kosten minimal sind. In der Studie wird das Anreizsystem Manage- ment Buy-Out untersucht und vorteilhafte Gestaltungsvarianten für die Anreizsetzung erarbeitet. Sowohl die Anreiz- als auch die steu- erliche Perspektive werden untersucht und zu einem interdisziplinä- ren Gestaltungsansatz für die Beteiligung des Managements bei dem Management Buy-Out integriert.
