You have an investment offer. Now you need to understand what it really means.
A term sheet can look surprisingly simple: an investment amount, a valuation and a few pages of financial and legal language. Yet those pages can determine how much of your company you keep, who gets paid first if the business is sold, which decisions require investor approval, what happens during the next funding round and how much control you retain after accepting outside capital.
The Rough Start Guide to Term Sheets is a practical introduction for founders, entrepreneurs and first-time business leaders who need to understand an investment deal without already being venture capital specialists.
Starting from first principles, the book explains how term sheets work and then builds the complete transaction step by step. You will learn how pre-money and post-money valuations translate into ownership, how option pools create dilution, why preferred shares can behave differently from ordinary shares, and how liquidation preferences can change what founders and investors receive from the same company sale.
The guide also examines anti-dilution protection, pro-rata rights, future funding rounds, board seats, reserved matters, investor approval rights, founder vesting, employee equity, share-transfer restrictions, drag-along provisions, due diligence, exclusivity, legal costs and the route from signing a term sheet to receiving the investment.
Worked examples show how apparently attractive terms can interact and why the highest headline valuation does not always tell you which offer is economically stronger.
The final sections bring everything together through a complete worked deal and practical appendices designed to help you compare offers, calculate dilution, examine liquidation outcomes and identify the questions that should be asked before signing.
Understand the ownership. Understand the economics. Understand the control. Then understand the whole deal.
For anyone approaching venture investment for the first time, this book is designed to make the language, calculations and consequences of a term sheet considerably easier to follow.
