This book revolutionized how economists, policymakers, and legal theorists understood the American corporate economy, arguing that the rise of large, manager-controlled corporations had effectively separated ownership from control, diminishing the power of shareholders and challenging classical free-market assumptions. This insight laid the groundwork for modern corporate governance theory, securities regulation, and antitrust policy, making it one of the foundational texts in both corporate law and institutional economics. The book is hardcover, missing dust jacket. The book condition is Good. Overall, the text is clean, unmarked and attractive, but there is cosmetic wear to cover and some ex-library features (from Marlboro College in VT, which closed in 2020). List of ex-library features: code in ink on bottom of spine, shadow of sticker on top of front cover, nice bookplate on front pastedown, embossed library stamp on title page, date due slip and pouch on back flyleaf and pastedown. The text is notably tanned around edges. Hinges firm. Binding sound, but loosened with age, with widening in gutters on title page (with small rip on bottom of gutter) and pages 78-79 with mesh visible. Hardcover board corners turned in and exposed, with fabric fraying. Fabric on top and bottom of spine worn, ripped and chipping. Gilted text on boards heavily rubbed. At Age 21, He Became The Second Youngest Graduate Of Harvard Law School In The School's History, Behind Only Louis Brandeis. Upon Graduation Berle Joined The Us Military. His First Assignment As An Intelligence Officer Was To Assist In Increasing Sugar Production In The Dominican Republic By Working Out Property And Contractual Conflicts Among Rural Landowners. Berle Became A Member Of The American Delegation To The Paris Peace Conference, Advocating For Smaller Nations' Rights Of Self-Determination. In 1919, Became A Member Of The Law Firm Of Berle, Berle And Brunner. Berle Became A Professor Of Corporate Law At Columbia Law School In 1927 And Remained On The Faculty Until Retiring In 1964. He Is Best Known For His Groundbreaking Work In Corporate Governance That He Co-Authored, With Economist Gardiner Means, The Modern Corporation And Private Property. It Is The Most Quoted Text In Corporate Governance Studies. Berle And Means Showed That The Means Of Production In The Us Economy Were Highly Concentrated In The Hands Of The Largest 200 Corporations, And Within The Large Corporations, Managers Controlled Firms Despite Shareholders' Formal Ownership. Berle Theorized That The Facts Of Economic Concentration Meant That The Effects Of Competitive-Price Theory Were Largely Mythical.
