Five Stakeholder Perspectives
A Practical Guide to Leveraged Buyouts, Investment Returns, Capital Structures, and Long-Term Wealth Creation
How can one business acquisition create attractive investment opportunities for different stakeholders?
LBO Investment Economics: Five Stakeholder Perspectives, part of the Alphega True Wealth series, explores how leveraged buyouts (LBOs) create investment opportunities for acquisition partners, lenders, business sellers, and equity investors.
Building on LBO Basics, this book explains not only how acquisitions are financed, but also why different stakeholders participate, how their returns are generated, and how strategic acquisitions can support long-term wealth creation.
Using an illustrative $20 million acquisition over a five-year investment horizon, the book examines five key stakeholder perspectives:
-
Acquisition Partners: Generate value through deal origination, financing, execution, equity ownership, and performance participation.
-
Commercial Lenders: Earn contractual interest income through senior secured acquisition financing.
-
Mezzanine Lenders: Pursue higher potential returns through subordinated lending, PIK interest, and equity warrants.
-
Business Sellers: Combine immediate liquidity, seller financing, potential tax advantages, and retained equity participation.
-
Equity Investors and Family Offices: Pursue capital appreciation through business growth, debt reduction, and enterprise value expansion.
The book also explores how Alphega Global Partners approaches investment growth through three progressive strategies:
1. Basic Leveraged Buyout (LBO): Acquire established, cash-flow-generating businesses using a combination of debt and equity.
2. MPA™ (Market Position Acceleration) Roll-Up: Accelerate growth through strategic acquisitions, business integration, and operational synergies.
3. Potential Public-Company Participation: Explore additional opportunities for capital access, valuation enhancement, and shareholder liquidity.
