The other side already decided what they would do to you. Most M&A books pretend that is not true. In every deal, every partnership, every employment relationship, and every customer contract that ended badly, there was a moment when the other party's framework produced the bite. Not because they were villains. Because their incentives, constraints, and forecast of your behavior made the bite the rational move. The farmer who did not understand the snake's framework called it betrayal. The professional who does understand it calls it Tuesday. The Deal and the Snake is the M&A playbook for both sides of the table. Written by a CPA and Big 4 transaction advisor who has sat in the diligence chair on more than a hundred deals, it teaches the craft of reading a counterparty's decision framework before they execute it, structuring the transfer so the irreversible things go last, designing the earnout so whoever controls the metric does not control the outcome, and walking away when the facts support it. Part One follows the full deal lifecycle. It introduces the Counterparty Read, a four-column framework that turns betrayal into something you priced in advance. Part Two expands the fable into the full range of professional life: Super Micro and CEO-built governance failure, institutional recidivism, the maximum-distrust operating philosophy and what it costs, the former employee who became your competitor, and the concentrated customer who discovered your dependence first. Seven named deal laws. The Counterparty Read framework. Named cases from HP/Autonomy to Akorn v. Fresenius to Super Micro. Real mechanics, no hand-waving. The amateur asks whether the other side is trustworthy. The professional asks what the other side will rationally do, and structures the deal so the answer does not matter.
