How does borrowed money make a buyer rich? Where does the return actually come from, once the part anybody would have received is taken out of it? What do the fees take, in total, and from whom? And what happens to the company afterwards — not in the six weeks of the deal, but in the twenty years after it?
BORROWED TIME tells the story of the leveraged buyout from the bootstrap deals of the 1960s to the industry that now owns a large share of the private economy, and then takes the transaction apart with a calculator.
WHAT IS INSIDE
The history, in five chapters: the balance sheet with slack in it, the arithmetic of borrowed money, the bond market that had to be invented, and six weeks in 1988 that made all of it famous.
The anatomy, in seven: the exact three-way decomposition of a buyout return and which part could be called skill; the full fee stack on a billion-dollar transaction — about $240 million, roughly half of it paid whether the deal succeeds or fails; why a reported rate of return can be raised by borrowing rather than by earning; the dividend recapitalization, which is the whole structure distilled; and who is carrying the risk that makes the return possible.
The companies, in six: Toys "R" Us, which could service its debt or rebuild its stores and could not do both; Energy Future Holdings, the largest buyout ever completed and, underneath, a leveraged bet on the price of natural gas; the healthcare and housing research that is strong enough to be uncomfortable; the retail decade; the roll-up that has replaced all of it — and, at equal length, the transactions that plainly worked and why.
The system around it: a tax deduction written in 1918, the pension money that funds the equity, and the Delaware rule that turns a high enough offer into an obligation.
And a verdict written so that a reader who disagrees can see exactly which finding they disagree with, followed by the reforms that would change the incentives, costed, with an estimate of how each would be avoided.
WHAT MAKES THIS BOOK DIFFERENT
Every calculation is printed rather than summarized. Every measured finding is given with its size and an indication of how firmly it stands — and Appendix F states, claim by claim, what is established, what is contested, what is arithmetic and what is the author's own, together with five findings that would change the verdict.
It is not an exposé. Nothing here alleges wrongdoing except where a court or a regulator has found it. The argument is structural: the transaction allocates the gains to one set of people and a large share of the risks to another, and the two sets barely overlap.
It is not a defence either. Chapter 17 is devoted to the buyouts that succeeded, because a book about an industry that describes only the failures is a brochure with the sign reversed.

Returns Policy
We ask all customers to contact us for authorisation should they wish to return their order. Orders returned without authorisation may not be credited.
If you wish to return, please contact us within 14 days of receiving your order to obtain authorisation.
Returns requested beyond this time will not be authorised.

Right of withdrawal
If you are a consumer you can withdraw from the contract in accordance with the following. Consumer means any natural person who is acting for purposes which are outside his trade, business, craft or profession.

Statutory right to withdraw
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the last good or the last lot or piece.
To exercise the right of withdrawal, electronically fill in and submit a clear statement on our website, under "My Purchases" in "My Account". We will communicate to you an acknowledgement of receipt of such a withdrawal on a durable medium (e.g. by e-mail) without delay.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we will reimburse to you all payments received from you, including the costs of delivery (except for the supplementary costs arising if you chose a type of delivery other than the least expensive type of standard delivery offered by us).
We may make a deduction from the reimbursement for loss in value of any goods supplied, if the loss is the result of unnecessary handling by you.
We will make the reimbursement without undue delay, and not later than 14 days after the day on which we are informed about your decision to withdraw from this contract.
We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
We may withhold reimbursement until we have received the goods back, or you have supplied evidence of having sent back the goods, whichever is the earliest.
You shall send back the goods or hand them over to PBShop.store UK, Fairford, United Kingdom, +44 1285 712917, without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired. You will have to bear the direct cost of returning the goods. You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
Exceptions to the right of withdrawal
The right of withdrawal does not apply to:
- The delivery of newspapers, journals or magazines with the exception of subscription contracts; and
- The supply of digital content which is not supplied on a tangible medium (e.g. on a CD or DVD) if you accepted when you placed your order that we could start to deliver it, and that you could not withdraw once delivery had started.
